Grip Broking Private Limited having its registered office address at Flat No. 106, II Floor, New Asiatic Building, H Block, Connaught Place, New Delhi-110001 is operating this Platform under a valid licence. (“Grip”, “We”, “Us” or “Our”). We are committed to protecting and respecting the privacy of every User who visits or access Our Platform or who shares information with Us and/ or whose information We receive through Our Platform or otherwise.

This Privacy Policy (“Privacy Policy”) applies to the collection, receipt, storage, usage, processing, disclosure, transfer and protection (“Utilization”) of all the information including Personal Information (defined below) when the user of the Platform (“User(s)” or “You” or “Your”) uses Our Platform or avails any services offered by Grip and /or the third parties including FD Partners (as defined in the Terms & Conditions) through the Platform. This Privacy Policy is not applicable to the Utilization of Your Personal Information by Third-party Platform (defined below). 

The capitalized terms that are used but not defined in this Privacy Policy will have the same meaning as in the terms and conditions of the Platform (Terms & Conditions). The Privacy Policy shall be read harmoniously and in conjunction with the Terms & Conditions of the Platform.

1. CONSENT:

1.1 You acknowledge that You have read the Privacy Policy carefully prior to using the Platform or sharing Your Personal Information or registering or using the Services on the Platform including but not limited to Services of online bond platform provider, stock broking, fixed deposits etc (“Services”) You acknowledge that this Privacy Policy is a part of the Terms & Conditions of the Platform. By accessing the Platform or by otherwise providing Us with Your information including Personal Information or by making use of the Services provided by the Platform, You unconditionally signify Your (i) assent to the Privacy Policy, and (ii) consent to the Utilisation of Your information including Personal Information in accordance with the provisions of this Privacy Policy.

1.2 You acknowledge that You are over 18 years of age and are providing Your information including Personal Information out of Your free will.

1.3 If You use the services on behalf of someone else (including but not limited to, as a legal representative of an individual with mental illness) or an entity (such as Your employer), You represent that You are authorized by such individual or entity to (i) accept this Privacy Policy on such individual’s or entity’s behalf, and (ii) consent on behalf of such individual or entity to Our Utilization of such individual’s information including Personal Information as described in this Privacy Policy. Further, You hereby acknowledge that the Utilization of information including Your Personal Information by Grip is necessary for the purposes identified hereunder.

1.4 You have the option not to provide Us the Personal Information sought to be collected. You will also have an option to withdraw Your consent at any point, provided such withdrawal of the consent is intimated to Us in writing at support@gripinvest.in. If You do not provide Us Your Personal Information or if You withdraw the consent to provide Us with Your Personal Information at any point in time, please note that Your withdrawal of consent, may result in Grip being unable to provide You with its Services or to terminate any existing relationship Grip may have with You.

1.5 Our Platform is accessible to children under the age of 18 years. Grip strongly encourages parents and guardians to supervise the online activities of their minor children and consider using parental control tools. These tools also can prevent minors from disclosing their name, address, and other personally identifiable information online without parental permission. Although the Platform and Services are not intended for use by minors, Grip respects the privacy of minors who may inadvertently use the Platform. We do not knowingly collect any Personal Information from children (without the consent of their parents/guardians). Please contact Us at support@gripinvest.in, if You are aware that We may have inadvertently collected Personal Information from a child, and We will delete that information as soon as possible.

1.6.  You acknowledge that if You or any of Your representatives fail to adhere to the Privacy Policy, We reserve the right to promptly terminate Your access to the Services, revoke Your usage rights on the Platform, remove non-compliant information, or take any necessary action, as applicable under relevant laws.

1.7. You acknowledge that any information You provide, including but not limited to Your Personal Information, Non-Personal Information, Transaction Information and User Communication is considered to be willingly disclosed without any coercion. We shall not bear any liability regarding the authenticity, genuineness, misrepresentation, or any issues related to the accuracy of the information You provide. Furthermore, save as required under applicable laws, We are not responsible for verifying any information obtained from You, nor are We liable for any instances of fraud or negligence related to such information.

1.8. You acknowledge that We would make an effort to clearly specify which fields are mandatory and which are optional when You provide information to Us. You have the freedom to choose not to provide Your Personal Information through the Platform by opting out of specific Services or features on our Platform that require such mandatory information.

1.9. You hereby are opting to grant Your explicit consent to link/integrate Your email account(s) with Your Platform account by verifying the one-time password (OTP) sent to Your registered email address by Grip. You will be specifically prompted on each occasion to decide whether You wish to connect Your email address with Your Platform account. Additionally, You have the option to authorize Our access to Your email account by linking the account(s) with Your Platform account. We may upload Your image on Our Platform and You hereby give Your consent for the same. We encourage You to review the information prior to giving Your consent for integration of the email address with the account on the Platform. You may at any time change Your email addresses connected with the account opened on the Platform, by managing these connections with the options provided on the Platform. 

1.10. You consent not to share any information that: belongs to another person and to which You do not have any right; is obscene, pornographic, paedophilic, invasive of another's privacy, including bodily privacy, insulting or harassing based on gender, racially or ethnically objectionable, related to money laundering or gambling, or promoting enmity between different groups on religious or caste grounds with the intent to incite violence; is harmful to children; infringes any patent, trademark, copyright, or other proprietary rights; deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information that is patently false, untrue, or misleading in nature; impersonates another person; threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, public order, or causes incitement to the commission of any cognizable offense, or prevents investigation of any offense, or is insulting to other nations; contains software viruses or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of any computer resource; violates any law for the time being in force.

1.11. You hereby acknowledge and agree that We may retrieve from Your records available with third party including from Know Your Customer (KYC) Registration Agency (KRA) such as name, KYC details, KYC status, father’s name, occupation, address details etc, and related documents containing Your Personal Information.

1.12. You hereby acknowledge that this Privacy Policy, along with the security measures We have in place to safeguard Your Personal Information, align with the reasonable security practices and procedures outlined in the Information Technology Act, 2000.

1.13. You acknowledge and agree that when You browse the Platform without being a registered member or without providing Your Personal Information, We may still collect and store Your Non-Personal Information (defined below).

1.14. You acknowledge and agree to the sharing of your information, including KYC information and any other information required for providing you the Services on the Platform, with third parties, including but not limited to the FD Partner, Financial Institutions (as defined in the Terms & Conditions). However, your data will not be shared with a service provider whose product or service you do not use on the Platform. Furthermore, you agree and provide your consent to Grip and our seller partners, including but not limited to Financial Institutions (as defined in the Terms & Conditions), to share, view and store information between each other for the limited purpose of (i) verification of details with respect to bank account etc for instituting efficient repayment mechanisms for the sellers; and (ii) updation of your dashboard in accordance with this data.

2. INFORMATION COLLECTED: While some sections of the Platform can be accessed without registration, to utilize specific Services on the Platform, You must complete the registration process with Us. In order to provide Services to You, We might require You to voluntarily provide Us certain information that personally identifies You. You hereby consent to the collection of such information by Grip. The information that We may collect from You, or about You, may include but are not limited to, the following:

1. Name, photograph, signature;
2. Birth date/age;
3. Gender, marital status, nominee details;
4. Residential/ Current Address (including country and pin/postal code);
5. Income and tax status
6. KYC information (such as permanent account number (PAN), passport details/ driving licence/ proof of possession of Aadhaar number/ Voter’s Identity Card issued by the Election Commission of India/ job card issued by NREGA duly signed by an officer of the State Government, or letter issued by the National Population Register containing details such name, birth date, address etc.);
7. Phone number/mobile number;
8. Email address and passwords;
9. Your usage details such as time, frequency, duration and pattern of use, features used and the amount of storage used;
10. Any other information about You or person acting on Your behalf that is required for providing You the services or is required by law or is willingly shared by You.

(1 to 9 are collectively referred to as “Personal Information”).

1. Interaction with Grip representatives or through any integrated artificial intelligence features offered by the Platform, messages on Our message boards, chat rooms, or any other message areas, or feedback or correspondence such as emails or letters sent by You or by third parties related to Your activities or posts on the Platform (collectively referred to as “User Communications”). 
2. Internet protocol address, browser type, browser language, referring URL, files accessed, errors generated, time zone, operating system, software and hardware attributes, internet service provider, aggregate User data and other visitor details collected in Our log files, the pages of Our Platform that You visit, the time and date of Your visit, the time spent on those pages and other statistics (“Log Data”), Cookie information etc. (collectively referred as “Non- Personal Information”) and
3. Certain financial information, including Your billing address, bank account details, income, expenses, and/or credit history, including transaction history, balances, and/or other payment related details or other payment method data, and debit instructions or other standing instructions to process payments for the Services. Further, if You choose to invest through the Platform, We will also collect information about Your transactions including transaction status/ ID and details and Your investing patterns and behaviour (collectively referred as “Transaction Information”); 

3. HOW WE COLLECT INFORMATION: The methods by which We collect Your Personal Information, Non- Personal Information, Transaction Information, User Communications or such other information provided by You includes but is not limited to the following:

1. When You access Our Platform or use any features of Our Platform;
2. When You provide Your Personal Information to Us;
3. During the course of Services provided to You by Us;
4. Through Your computer/device, once You have granted permissions to Our Platform;
5. Through Grip’s representatives;
6. Through use of cookies (also discussed below); 
7. Through Google APIs. In such cases Use of such information by Us shall be subject to Google API Services User Data Policy, including the Limited Use requirements as provided therein;
8. We collect information that Your browser/app sends whenever You visit Our Platform, including but not limited to the Log Data. In addition, We may use third party services for collection, monitoring and analysis of such Log Data. This information is kept completely secure; or
9. Through optional online surveys. 

4. USE OF INFORMATION: Your Personal Information, Non- Personal Information, Transaction Information, User Communications and any other information You share may be used for various purposes including but not limited to the following:

1. To provide effective services;
2. To resolve disputes, provide customer support, responding to queries and inquiries;
3. To troubleshoot issues, operate and improve Our Platform and services;
4. To perform research and analysis for Our understanding, information, analysis, services and technologies in order to provide all Users improved quality of care; and ensuring that the content and advertising displayed are customized to Your interests and preferences;
5. To contact You via phone, SMS or email for appointments, technical issues, payment reminders, obtaining feedback and other security announcements;
6. To send promotional and marketing emails from Us or any of Our channel partners via SMS, email, snail mail or third-party communication services such as Mailchimp, Facebook etc.;
7. To advertise products and Services of Grip and third parties;
8. To share/ transfer/ assign information about You, in the event of merger, sale, re-organization, amalgamation, joint ventures, assignment, restructuring of business or transfer or disposition of all or any portion of business of Grip or Grip’s group companies, affiliates, and subsidiary companies;
9. To share with Our business partners for provision of specific Services You have ordered so as to enable them to provide effective Services to You;
10. To administer or otherwise carry out Our obligations in relation to any agreement You have with Us;
11. For purposes of KYC verification;
12. To build Your profile/User account on the Platform;
13. To investigate, prevent, or take action regarding illegal activities, suspected fraud, violations of Our Terms of Use, breach of Our agreement with You or as otherwise required by law. (collectively referred to as “Purpose(s)”).
14. To communicate important notices or changes in the Services, use of the Platform and the terms/policies which govern Our relationship with You. 
15. Our usage of information received from Google APIs will comply with the Google API Services User Data Policy, encompassing the requirements for Limited Use.
16. Grip does not utilize Google Workspace APIs to develop, enhance, or train generalized AI or machine learning models. Our commitment is to maintain the integrity and confidentiality of your data by not using it for AI or machine learning purposes.
17. For any other purpose with Your prior consent.

5. SHARING AND TRANSFERRING OF PERSONAL INFORMATION:

5.1 We may, if required, disclose information including Personal Information about You to Our representatives and other third parties to comply with applicable laws and regulations, to protect the rights, assets, personal safety of Grip or its Users and others. In such cases, unless required by law, We are under no obligation to inform You or seek Your approval or consent. We also reserve the right to disclose Your Personal Information to third parties in an anonymous or aggregate form, to understand customer trends and patterns and manage and improve Our business relationships. We provide Your Personal Information to Our business partners, representatives and third party processors to administer and process for the Purposes notified to You in this Privacy Policy, and We may also share such details with third parties including but not limited to auditors or legal advisors to obtain professional advice. Any such processing will be governed by an agreement in the form required by law, preserving any and all of Your statutory data protection rights. You authorize Us to exchange, transfer, share, part with all or any of Your information including Personal Information, across borders and from Your country to any other countries across the world with Our affiliates/agents/third party service providers/partners/banks and financial institutions for the Purposes specified under this Privacy Policy or as may be required by applicable law.

5.2 You expressly agree and grant Your consent, thereby authorizing Us and/or Our group companies, subsidiaries, and affiliates to collect, store, transfer, process, and share information (including Personal Information) concerning You with third parties such as banks, financial institutions, credit information companies, entities registered under relevant laws with the Securities Exchange Board of India, the National Stock Exchange of India Limited, BSE Limited, Central Registry of Securitisation Asset Reconstruction and Security Interest of India (CERSAI), Corporate Bond Reporting and Integrated Clearing System (CBRICS), payment gateways, collecting banks, and KRAs. This consent is solely for the purpose of evaluating Your profile and processing Your transaction requests for the Services or other products and Services offered by Us, Our group companies, affiliates, and subsidiary companies. 

5.3 You hereby consent and authorize Us to collect feedback information and publish feedback obtained from You on Our Platform.

5.4 You acknowledge that some countries where We may transfer Your information including Personal Information may not have data protection laws which are as stringent as the laws of Your own country. You acknowledge that it is adequate that when Grip transfers Your information including Personal Information to any other entity within or outside India, Grip will place contractual obligations on the transferee which will oblige the transferee to adhere to the provisions of this Privacy Policy.

5.5 User’s financial information are transacted upon secure sites of approved payment gateways which are digitally under encryption, thereby providing the highest possible degree of care as per current technology. However, User is advised to exercise discretion while saving the payment details.

 5.6 You acknowledge that Grip may be obligated by law to disclose or transfer Your information including Personal Information with courts and government agencies in certain instances including but not limited to, verification of identity, or prevention, detection, investigation, prosecution, and punishment for offences, or in compliance with laws. You hereby consent to disclosure or transfer of Your information including Personal Information in these instances.

5.7 Notwithstanding the above, We are not responsible for the confidentiality, security or distribution of Your information including Personal Information by third-parties outside the scope of Our agreement with such third-parties. Further, We will not be responsible for any breach of security or for any actions of any third-parties or events that are beyond the reasonable control of Us including but not limited to, acts of government, computer hacking, unauthorized access to computer data and storage device, computer crashes, breach of security and encryption, poor quality of Internet service or telephone service of the User etc.

5.8 We may share Your Personal Information, Non- Personal Information, Transaction Information, User  Communications with Our consultants, service providers, vendors,  other corporates and/or holding, subsidiary, or associate entities and affiliates to (i) to provide You access to Our Services and process payments including validation of Your bank accounts (ii) help detect and prevent identity theft, fraud and other potentially illegal acts and cyber security incidents, and (iii) help and detect co-related/related or multiple accounts to prevent abuse of Our services, (v) to facilitate and assist Our marketing and advertising activities/initiatives, (vi) for undertaking auditing or data analysis. The sharing of all the information under this clause shall only occur in accordance with an agreement that includes the requisite obligations and restrictions to ensure that the Personal Information remains confidential and used only for the purposes for which We disclose it to them and You hereby give Your consent for the same.

6. USE OF NON-PERSONAL INFORMATION:

6.1 We, Our third party service providers and Our partners may send Cookies to Your computer or use similar technologies to enhance Your online experience at Our Platform. “Cookies” are files that can identify You as a unique customer and store Your personal preferences as product preferences to tells Us which Platform pages You have visited and in what order. We use Cookies and other technical information to personalise Your visit to the Platform, to analyse traffic on the Platform and to track User trends, patterns and selections for authorised download and for technical reasons connected with Your use of Our Platform. No Personal Information is collected via Cookies and other tracking technology; however, if You previously provided Personal Information, Cookies may be tied to such information. 

6.2 Cookies can either be permanent (i.e. they remain on Your computer until You delete them) or temporary (i.e. they last only until You close Your browser). We may store both temporary or permanent Cookies on Your computer/device to store certain data (that is not sensitive Personal Information). You can erase or choose to block these Cookies from Your computer. You can configure Your computer’s browser to alert You when We attempt to send You a Cookie with an option to accept or refuse the Cookie. If You have turned Cookies off, You may be prevented from using certain features of the Platform.

6.3 We do not control the use of Cookies by Third-party Platform.

6.4. We may automatically collect certain Non-Personal Information related to Your activities on the Platform. This information is utilized for internal research to gain insights into Your demographics, interests, and behaviour, with the aim of improving Our ability to understand, protect, and cater to Your needs. 

6.5. We utilize Your IP address to assist in diagnosing server issues, resolving them, and managing the Platform. Your IP address is also employed for User identification and to gather general demographic data.

7. SECURITY:

7.1 The security of Your Personal Information is important to Us. We have adopted reasonable security practices and procedures including role-based access, secure communication, password protection, encryption, etc. to ensure that the Personal Information collected is secure. All information disclosed by You including all collected by Grip shall be stored on servers, log files and any other storage system owned by the Grip or by third parties in India.

7.2 We restrict access to Your Personal Information to Us and Our affiliates’ employees, agents, third party service providers, partners, and agencies who need to know such Personal Information in relation to the Purposes as specified above in this Privacy Policy, provided that such entities agree to abide by this Privacy Policy.

7.3 While We will endeavour to take all reasonable and appropriate steps to keep secure any information which We hold about You and prevent unauthorized access, You acknowledge that the internet is not 100% secure and Our efforts do not guarantee absolute protection. You agree that We will not be liable in any way in relation to any breach of security or unintended loss or disclosure of information caused in relation to Your information including Personal Information. We assume no liability or responsibility for disclosure of Your information due to errors in transmission, unauthorized third-party access, or other causes beyond Our control such as hacking, virus dissemination, force majeure events, breach of firewall etc. Further, We are not responsible for any unauthorized or unlawful disclosure of Your information including Personal Information that may occur through third parties over whom We have no control.

7.4. Your active role in safeguarding Your information including Personal Information is essential. It is important to emphasize that as long as You are accessing and/or using the Platform, either directly or indirectly, You are responsible for maintaining the integrity and security of Your data, which includes but is not limited to Your Personal Information. This requires You to consistently implement appropriate physical, managerial, and technical safeguards on Your end. By using Our services, You commit to not sharing Your information including Personal Information or any account security details with anyone. If You suspect any unauthorized or illegal access to Your account or a security breach resulting from Your actions or inactions, please notify Us immediately. Please do not share Your Account’s login, password, OTP details or credentials with anybody.

7.5. In the event of a security breach or data compromise on Our end, We will inform You and, when required by applicable laws, the relevant authorities within the stipulated timelines. 

8. THIRD PARTY LINKS: 

During Your interactions with Us, it may happen that We provide/include links and hyperlinks of third-party websites or mobile application not owned or managed by Us (“Third-party Platform”). It may also happen that You or other Users may include links and hyperlinks of Third-party Platform. The listing of such Third-party Platform (by You, other Users or by Us) does not imply endorsement of such Third-party Websites by Grip. Such Third-party Platform may collect Your information including but not limited to Your Personal Information, Transaction Information, Non-Personal Information etc. These Third-party Platform are governed by their own terms and conditions and when You access such Third-party Platform, You will be governed by the terms of such Third-party Platform. You must use Your own discretion while accessing or using Third-party Platform. We do not make any representations regarding the availability and performance of any of the Third-party Platform. We are not responsible for the content, terms of use, privacy policies and practices of such Third-party Platform. We do not bear any liability arising out of Your use of Third-party Platform. These Third Party Platform may use information about Your visits to the Platform, Third Party Platform and any other websites or mobile application that You visit that are not under the control of the Platform or Thirty Party Platform (“Third Party Links”) in order to provide advertisements about products and services of interest to You. You agree and acknowledge that We are not liable for the information published in search results or by any Third-Party Links.

9. ACCESS: If You need to update Your Personal Information or have any grievance with respect to the processing or use of Your Personal Information, or request that We no longer use Your Personal Information to provide You services or want Us to delete Your Personal Information, or opt-out of receiving communications such as promotional and marketing-related information regarding the Services, for any reason, You may send Us an email at support@gripinvest.in and We will take all reasonable efforts to incorporate the changes within a reasonable period of time. 
 

10. COMPLIANCE WITH LAWS: The contents of this Privacy Policy are governed by the laws of India. You are not allowed to use the Services of the Platform if any of the terms of this Privacy Policy are not in accordance with the applicable laws of Your country.

11. TERM OF STORAGE OF PERSONAL INFORMATION:

11.1. Grip may keep records of communications, including phone calls received and made for making enquiries, orders, feedback or other purposes for rendering Services effectively and efficiently. Grip will be the exclusive owner of such data and records. However, all such records are regarded as confidential and will not be divulged to any third party, unless required by law.

11.2 Grip will store Your information including Personal Information at least for a reasonable time from the last date of use of the Services, Platform or for such period as may be required by law.

11.3 You are responsible for maintaining the accuracy of the information including Personal information You submit to Us, such as Your contact information provided as part of account registration. If any of Your information including Personal Information changes, You may correct, delete inaccuracies, or amend information by making the change on Our member information page or by contacting Us through support@gripinvest.in . We will make good faith efforts to make requested changes in Our then active databases upon being informed by You for such changes as soon as reasonably practicable. If You provide any information that is untrue, inaccurate, out of date or incomplete (or becomes untrue, inaccurate, out of date or incomplete), or Grip has reasonable grounds to suspect that the information provided by You is untrue, inaccurate, out of date or incomplete, Grip may, at its sole discretion, discontinue the provision of the services to You. There may be circumstances where Grip will not correct, delete or update Your Personal Information, including (a) where the Personal Information is opinion data that is kept solely for evaluative purpose; and (b) the Personal Information is in documents related to a prosecution if all proceedings relating to the prosecution have not been completed.

12. CHANGES TO THE PRIVACY POLICY:

12.1 We reserve the right to update (change, modify, add and/or delete) the terms of this Privacy Policy from time to time, at Our sole discretion, to reflect company initiatives, changes in the law or technology or changes in Our practices regarding the collection and use of information including Personal Information. Any updates made shall be effective immediately.

12.2 When We update Our Privacy Policy, We will intimate You of the amendments on Your email address registered with Us or on the Platform or provide You push notifications or such other form(s) of notice as We deem necessary to keep You updated about this Privacy Policy.
